Contracts & Licensing Manager (CLM) is a member of the Contracts and Licensing Team at Mount Sinai Innovation Partners (MSIP.) The CLM helps facilitate the research and development of new discoveries by drafting, negotiating, and rapidly iterating contract terms and conditions for a broad range of complex deals and contractual arrangements. Accordingly, the CLM will have advanced understanding of basic science and research methods, intellectual property, contract law, licensing and deal-making in the technology commercialization space. The CLM works closely with the MSIP Patent, Finance and Operations, and Business Development Groups and the Health System's Office of General Counsel or their designees, as necessary.
The CLM will be an experienced legal strategist, a prolific executer, a relationship builder, and a problem-solver with an advanced emotional intelligence, exceptional communication and organization skills, and the ability to effectively work in cross-functional teams.
What You'll Do:
Drafts, reviews, negotiates, and executes terms and conditions for all research-related contracts and agreements (license, sponsored research, master research, inter-institutional, collaboration, consortium, material transfer, confidentiality, visiting scientist, service and data transfer, and other related contracts
Support Grants and Contracts Office, Financial Administration of Clinical Trials Office, and President's Office review of intellectual property terms contained in philanthropic grants, SBIR and STTR agreements, clinical trial agreements and service agreements.
Builds and maintains productive relationships with internal and external constituents.
Participates in/contributes to Business Development Team activities, like: Decision Meetings, customer meetings, outreach and seminars, etc., and other MSIP projects and initiatives.
Supports the continuous improvement of the MSIP contract management system, including the development of new or improved templates and tools in the system to enhance the efficiency of the contracting process
Monitors and reports process activity (i.e., volumes, durations, quality, and satisfaction); participates in and/or leads process improvement projects; pursues process automations; and, ensures data completeness and accuracy in the system of record (Inteum).
Performs other related duties, as assigned by MSIP.
What You'll Bring:
JD, or Ph.D.
5 years of experience preferably related to technology commercialization or intellectual property
New York Bar Admission preferred; patent bar admission a plus
Track record of successful negotiations and executed deals
Ability to work independently in a high-pressure environment, negotiating a high-volume and variety of agreements, while creatively maneuvering obstacles and adhering to policy and procedures
Flexibility & availability to manage numerous tasks concurrently and ability to act cooperatively with many individuals
Excellent drafting, legal, business, and critical thinking skills
Expertise in current state-of-the-art contract law, especially related to intellectual property transactions in the life science and/or healthcare domains
Ability to function well as a contributor to inter-disciplinary groups
